ARBITRATION CLAUSE — ARBITRA.AI

Any dispute, controversy, or claim arising out of or relating to this agreement, or the breach, termination, or invalidity thereof, shall be resolved through AI-powered arbitration administered by Arbitra.ai (https://arbitra.ai) in accordance with its then-current Arbitration Rules.

DISPUTE TYPE: This clause applies to general contract disputes under this agreement.

GOVERNING LAW: This agreement and any disputes shall be governed by the laws of Delaware, USA.

PROCEDURE:
1. The claiming party shall file a case through the Arbitra.ai platform, providing a description of the dispute, relevant evidence, and desired outcome.
2. The responding party shall have 14 calendar days from notification to respond with their statement and supporting evidence.
3. Both parties shall have the opportunity to submit rebuttals to the opposing party's statements.
4. Arbitra.ai's AI arbitrator shall analyze all submitted evidence and arguments and issue a ruling.

LANGUAGE: All proceedings shall be conducted in English.

RULING: The ruling issued by Arbitra.ai shall be final and binding upon both parties, and may be entered as a judgment in any court of competent jurisdiction.

COSTS: Each party shall bear its own costs related to the arbitration. The filing fees shall be as published on the Arbitra.ai platform at the time of filing.

CONFIDENTIALITY: All materials submitted, communications exchanged, and rulings issued in connection with the arbitration shall be kept confidential by both parties.

By entering into this agreement, the parties acknowledge that they have read and understood this arbitration clause and agree to be bound by its terms.
